Capgemini (CAP) Offers $76.50 Per Share to Buy WNS

Capgemini (CAP) has entered into a definitive transaction agreement to acquire WNS for $76.50 per share in cash, reflects a 28 percent premium.

The total cash consideration for the acquisition will be $3.3 billion. The deal is expected to boost Capgemini’s normalized EPS by 4% before synergies in 2026 and by 7% after synergies in 2027. Closing of the transaction is anticipated by the end of the year.

Capgemini announced this acquisition to enhance its scale and vertical sector expertise, aiming to capitalize on the shift from traditional BPS to Agentic AI-powered Intelligent Operations, according to CEO Aiman Ezzat.
